Welcome to AasPaas Connect (“Platform,” “we,” “us,” or “our”).
These Terms and Conditions (“Terms”) govern your access to and use of our website, web applications, and related local directory services.
By accessing our website, searching for a business, registering as a service provider, or joining our affiliate program, you expressly agree to be bound by these Terms.
If you do not agree to all clauses outlined below, you must immediately cease using the Platform.
SECTION 1: TERMS FOR GENERAL USERS (CONSUMERS)
1.1 Open-Access & Search Directory Rules
• The Platform grants Users a non-exclusive, non-transferable, revocable license to search the directory by Pincode, Locality, or Category to discover local service providers without mandatory account creation.
• Users agree to use the Platform strictly for personal, non-commercial purposes to find legitimate local services. Automated data scraping, harvesting, or extracting business contact numbers and video links via bots or scripts is strictly prohibited.
• Browsing Tier (Anonymous): Users can access the homepage open directory, execute search queries by Category, Locality, or Pincode, and stream 60-second video profiles completely anonymously without creating an account.
• Interaction Tier (Authenticated): To protect our registered local businesses from malicious robocalls, telemarketing bots, and automated spam harvesting, Users must create a verified profile to unlock the “Connect on WhatsApp” feature.
• User Account Responsibilities: During account creation, Users agree to provide an accurate full name, a valid email address, and a verifiable mobile number. You are solely responsible for maintaining the confidentiality of your login credentials and for all actions taken under your account.
We reserve the absolute right to terminate or suspend user profiles suspected of hosting dummy data or operating under false identities.
1.2 Limitation of Liability for Vendor Services/Engagements
• AasPaas Connect is a discovery engine, not a service provider. We display up to 60-second video profiles for informational purposes.
We do not employ, endorse, guarantee, or validate the professional credentials, medical licenses, or quality of work of any listed business, including but not limited to doctors, clinics, tailors, or estate agents.
• Any contract, transaction, appointment, or dispute arising between a User and a listed Business takes place strictly offline.
AasPaas Connect shall not be held liable for any financial losses, medical malpractice, property damage, or personal dissatisfaction resulting from hiring a business discovered on our Platform.
1.3 Communication Routing and Safe Communication & Fair Use Policy
• Clicking the “Connect on WhatsApp” link redirects the User to an external application (WhatsApp) managed by Meta Platforms Inc.
We are not responsible for the privacy practices, response times, or behavior of the vendor once the user leaves our domain.
• By unlocking the WhatsApp link, the User agrees to contact local businesses strictly for legitimate, high-intent service inquiries.
• Prohibited Communication Behaviors: Users are strictly barred from using the Platform’s routed communication channels to:
• Send unsolicited promotional materials, advertisements, or spam offers to listed business owners.
• Harass, abuse, stalk, threaten, or send offensive text messages or media to vendors.
• Falsely misrepresent identity to conduct malicious “mystery shopping” or competitive intelligence gathering.
• The Blacklisting Clause: Listed vendors have the right to report abusive users to our administration support desk.
If a User is found violating the Fair Use Policy, their account will be permanently blacklisted, and their associated mobile number will be blocked from ever re-registering on AasPaas Connect.
1.4 Data Disclosures via Third-Party Redirection
• Clicking the “Connect on WhatsApp” button triggers an immediate external browser redirection to an application owned and operated by Meta Platforms Inc. (WhatsApp).
• AasPaas Connect does not control, monitor, or archive the subsequent chat strings, file attachments, or personal information shared between the User and the Vendor within WhatsApp.
Users interact on external channels at their own discretion and subject to WhatsApp’s global terms of service.
1.5 User Feedback, Reporting, and Platform Content
• Users are encouraged to report listings that feature broken video links, outdated address parameters, mismatching pincodes, or fraudulent operators.
• While we make every administrative effort to clean our directories daily, AasPaas Connect does not warrant or guarantee that all business descriptions, location markers, operating schedules, or video contents are entirely accurate, complete, or up to date at the exact moment of user viewing.

SECTION 2: TERMS FOR REGISTERED BUSINESSES (VENDORS)
2.1 Profile Accuracy & Content Guidelines
• By submitting a profile and a 60-second introductory video, the Vendor warrants that all submitted data (Business Name, Pincode, Category, and WhatsApp Contact Number) is accurate, current, and legally operational.
• Verification Warranties: By applying to list a business or professional profile on the Platform, the individual or corporate entity (“Vendor”) warrants and represents that they possess the full legal authority, valid trade licenses, state certifications, and professional credentials required to operate their stated business in their designated geography.
• Metadata Accuracy: The Vendor must ensure that the Business Title, physical address, 6-digit Pincode, selected Category, and primary WhatsApp Contact Number are 100% accurate, operational, and non-deceptive.
Falsifying a geographic location or listing under an incorrect Pincode to rig search results will result in an immediate account ban without warning or recourse.
• The 60-second video must be an authentic, unedited or minimally edited walkthrough or realistic presentation of the Vendor’s actual workspace, tools, and expertise.
• Visual Requirements: The media asset must feature a realistic, unedited, or minimally edited walkthrough or practical demonstration of the Vendor’s real workspace, clinical rooms, tools of trade, or finished works.
• Prohibited Content Guidelines: Video submissions will be permanently blocked, removed, or rejected if they contain:
• Copyrighted audio, background music, or stock video assets used without explicit written authorization or licensing.
• Deceptive graphical animations or heavily filtered renderings that obscure the actual physical state of the commercial premise.
• Defamatory, political, religious, adult, or textually aggressive marketing content.
• Guarantees of absolute medical cures, deceptive financial returns, or comparative advertising targeted maliciously at other local competitors.
• Videos containing graphic content, political statements, copyrighted background music without authorization, misleading claims, or third-party advertisements will be permanently rejected/deleted without a refund.
2.2 Payment, Subscription Cycles, and No-Refund Policy
• Vendors must pay a non-refundable annual registration/verification token fee mentioned at the registration form via our integrated payment gateway to host their listing for a consecutive 365 days.
• Absolute No-Refund Policy: Because the fee covers immediate data ingestion, server processing, and administrative validation layout costs, all payments are absolute and non-refundable, regardless of whether the profile is manually rejected for violating content guidelines or if the vendor chooses to delete their listing early.
• Administrative Verification Audits: Payment completion does not mean instant public publication.
All profiles go into a “Pending Review” status.
AasPaas Connect reserves the absolute right to delay or deny publication if the submitted video or business metadata fails to pass basic quality, hygiene, or verification audits.
2.3 Comprehensive Lead Disclaimer: No Guarantee of Business Volumes
• Discovery Architecture vs. Lead Brokerage: The Vendor explicitly acknowledges and agrees that AasPaas Connect is a Passive Hyper-Local Discovery Directory, not a lead generation agency, call center, or digital marketing broker.
• No Commercial Warranties: We provide the digital infrastructure to host, organize, and stream your video presentation to users searching specific Pincodes.
We do not guarantee, represent, or warrant that your listing will receive a minimum number of views, clicks, profile interactions, or incoming WhatsApp client leads.
• Market Variable Acknowledgment: The volume of direct user inquiries depends entirely on consumer search intent, geographic demand, seasonal factors, and the visual quality and compelling nature of the Vendor’s 60-second video pitch.
The Platform shall not be held liable, financially or otherwise, if a paid listing yields zero commercial transactions or customer acquisition outcomes.
2.4 Administrative Verification Audits & Takedown Rights
• Pre-Publication Holding State: Clearing the payment gateway does not constitute automated public listing activation.
All freshly submitted or updated vendor profiles enter a secure “Pending Audit” state.
AasPaas Connect reserves the absolute administrative right to withhold approval, modify categorization text, or reject profiles that fail our internal safety, audio-visual quality, or local compliance filters.
• Continuous Review Protocol: We reserve the right to audit active, live listings at any time.
If a listed business is discovered to have shut down operations, changed its primary Pincode address, or received credible, repeated consumer complaints regarding fraudulent field practices, the Platform reserves the right to immediately take down the listing without notice.
2.5 Financial Framework: Non-Refundable Token Fees & Renewal Terms
• The Flat-Fee Structure: The Vendor agrees to pay a non-refundable, non-transferable annual activation token fee (e.g., ₹199) to host a single profile for a fixed calendar cycle of 365 days.
• Absolute No-Refund Policy: The application fee covers the immediate server resource allocation, automated data processing, and administrative manual inspection costs.
Under no circumstances shall this fee be refunded, partially or fully, including cases where a profile is rejected for non-compliant video content, removed due to a breach of these Terms, or if the Vendor voluntarily requests to pull down their business profile before the 365-day cycle expires.
• Expiration & Automatic Deactivation: Upon reaching the 365th day post successful activation, the Platform will automatically toggle the listing’s visibility status to False.
The Vendor is solely responsible for clearing the renewal fee to maintain active search rankings inside the Pincode maps.
2.6 Full Legal Indemnification
• The Vendor agrees to defend, indemnify, and hold completely harmless AasPaas Connect, its founders, directors, employees, affiliates, and developers from and against any and all legal claims, consumer lawsuits, damages, operational losses, liabilities, settlement payouts, and expenses (including legal attorney fees) arising directly or indirectly out of:
• Any professional malpractice, negligence, deficient service delivery, structural contractual breach, or consumer dispute originating from an offline interaction between the Vendor and a customer discovered via the Platform.
• Any structural misrepresentation, copyright infringement, or trademark violation embedded inside the Vendor’s submitted 60-second video, business title, or profile copy.
• Any regulatory fines or legal actions levied by government or local civic bodies concerning the operational licensing or tax non-compliance of the Vendor.
2.7 Platform Security & Interface Ownership
• Dynamic Ranking Parameters: AasPaas Connect reserves the absolute right to manage, alter, or optimize the underlying search sorting algorithm that determines the display sequence inside the homepage repeater.
Paid listings are guaranteed visibility based on exact category and Pincode matches, but the Platform does not guarantee a permanent fixed structural position (e.g., top row slot #1) unless explicitly purchased through a premium tier package.
• Data Portability Limits: The design, presentation layout, code logic, and search infrastructure hosted on aaspaasconnect.com are the exclusive intellectual property of the Platform.
The Vendor possesses no rights to export, reverse-engineer, or mirror the directory’s operational framework.
2.8 Premium Visibility Listings (Fixed-Slot Search Priority)
• Definition of Premium Slots: The Vendor may purchase fixed-term priority visibility upgrades (“Premium Slots”) inside the Platform’s Pincode search index.
A Premium Slot programmatically positions the Vendor’s profile card within the designated top-tier display row of their chosen Category and Pincode, outranking standard local listings.
• Fixed-Term Architecture: Premium Slots are provisioned for strict, immutable time intervals (e.g., Weekly, Monthly, or Bi-Annual cycles) as locked in at the time of checkout.
Upon completion of the contracted billing cycle, the dynamic search position automatically reverts to standard directory placement unless a renewal payment is successfully processed 48 hours prior to expiration.
• Capacity Boundaries: To preserve the integrity and user experience of the discovery engine, the Platform enforces a strict cap on the number of Premium Slots available per Category and Pincode combination.
Premium Slots are distributed strictly on a “First-Come, First-Served” basis.
The Platform reserves the right to modify slot counts, pricing indexes, and row positions at its sole operational discretion during system optimization updates.
2.9 Hyper-Local Ad Banners (Targeted Display Placements)
• Inventory & Positioning: Vendors may acquire targeted graphic advertisement zones (“Paid Banners”) strategically deployed across localized search result pages and high-traffic category headers on the Platform.
• Content Compliance Checkpoints: All display banners must conform to strict platform dimension specifications and brand-safe artistic aesthetics.
Banners must not contain flashing animations, deceptive “clickbait” vectors, unverified price comparison drops, or unapproved professional claims.
• Pre-Flight Ingestion Window: The Vendor must submit the final banner layout creative at least 3 business days prior to the scheduled launch date.
The Platform retains absolute structural authority to withhold publication or request graphic redesigns if the advertisement material compromises web responsive rendering speeds or violates local community advertising standards.
• Fixed Time & Pricing Commitments: Banner space bookings are tied to absolute chronological date matrices (e.g., Active from the 1st to the 15th of the calendar month).
The Platform does not guarantee impressions, Click-Through Rates (CTR), or operational conversion metrics.
The payment covers strictly the digital rental space for the designated time slice.
2.10 Absolute Non-Refundability & Administrative Suspension of Premium Ads
• The Financial Redline: All revenues collected by AasPaas Connect for Premium Slots and Hyper-Local Ad Banners are 100% final, absolute, and non-refundable.
Because ad placements require immediate algorithmic reservation and real-time inventory locking, no refunds or credit rollouts will be generated for early campaign cancellations, business closures, or change-of-mind requests by the Vendor.
• Emergency Takedown Protocol: If a Vendor running a Premium Slot or a Paid Banner is subject to verified regulatory government enforcement actions, license drops, or credible consumer fraud reports, the Platform reserves the absolute right to immediately pull down the advertisements and freeze the vendor profile without notice.
In such emergency enforcement scenarios, all paid ad revenues for the remaining term are permanently forfeited to cover platform administrative evaluation costs.
SECTION 3: TERMS FOR PARTNER AFFILIATES (ONBOARDING AGENTS)
3.1 Independent Contractor Status
• Affiliates who register to onboard local businesses onto AasPaas Connect act entirely as independent marketing agents.
Joining the affiliate program does not create an employer-employee relationship, partnership, joint venture, or franchise agreement between the Affiliate and the Platform.
Affiliates are solely responsible for their own local travel expenses, mobile data usage, and income tax compliance.
• Self-Funded Operations: Affiliates possess no legal right to bind the Platform to any external contracts, pricing deals, or custom service agreements.
Affiliates are entirely responsible for handling their own field-marketing costs, including but not limited to local transport, fuel, vehicle maintenance, mobile data, and smartphone recording hardware.
3.2 Definition of a “Successful Submission”
• The Completion Matrix: An Affiliate is strictly eligible for a payout only upon the creation of a verified Successful Submission.
A submission is legally defined as successful when a vendor satisfies the following four conditions concurrently:

Completes the full digital application form using the Affiliate’s active referral parameters.

Uploads a functional 60-second video walkthrough matching our strict quality, clarity, and safety guidelines.

Clears the required annual directory fee or premium ad package fee completely through our integrated web payment gateway.

Passes the final manual quality assurance audit conducted by our Platform administrative desk.
• Null and Void Parameters: Abandoned checkout links, incomplete uploads, unpaid registrations, or videos featuring graphic content, political speech, or blacked-out screens carry zero commission value.
3.3 Commission Payout Cycles & Reconciliation Window
• Chronological Payout Dates: Verified accumulated commissions are processed, finalized, and disbursed twice every calendar month—specifically on the 15th (covering successful conversions from the 1st to the 14th) and the 30th/Final Day of the month (covering conversions from the 15th to the 29th).
• The Audit Protocol: Prior to release, our team runs a comprehensive reconciliation audit to cross-verify that all activated vendor links are functional and legitimate.
If a vendor profile is flagged as fraudulent or suffers an immediate bank chargeback prior to the payout date, that commission value will be permanently deducted from the Affiliate’s upcoming ledger sheet.
3.4 Termination of Affiliate Privileges
• AasPaas Connect enforces a zero-tolerance policy against deceptive field practices.
If an Affiliate is caught forcing vendors to record non-compliant content, falsifying business Pincodes to rig localized data maps, or charging vendors extra cash fees outside our standard web payment gateway, their affiliate account will be immediately terminated, and all pending accrued payouts will be permanently forfeited.
3.5 Lead Ownership & Territory Dispute Protocols
• The “First Tag” Rule: In the event that multiple Affiliates approach the exact same neighborhood service provider (e.g., a specific local diagnostic lab or estate agent), the commission allocation will be decided strictly by the digital tracking data inside our Wix database.
The commission belongs exclusively to the Affiliate whose unique tracking link or referral code was used at the final moment of successful vendor checkout.
Verbal pitches, WhatsApp conversations, or hand-delivered physical flyers do not constitute tracking proof.
• No Multi-Level Marketing (MLM): The AasPaas Connect Affiliate Network is a strict single-tier direct marketing framework.
Affiliates are compensated solely for the verified vendors they personally onboard.
Sub-partner recruiting, tier-stacking, or demanding cuts from other independent agents’ leads is strictly barred.
3.6 Representation & Branding Restrictions
• No Misrepresentation: Affiliates are completely unauthorized to present themselves as official corporate executives, operational decision-makers, or full-time staff of AasPaas Connect.
You must explicitly present yourself to vendors as an “Independent Onboarding Partner.”
• Creative Asset Control: Affiliates may only deploy digital banners, print flyers, pitch decks, and promotional assets explicitly generated and approved by the Platform’s marketing desk.
Creating custom Facebook pages, unauthorized mobile applications, or altered pricing flyers using the AasPaas Connect logo or trademark without written permission will trigger immediate contract termination.
3.7 Financial Compliance, Tax Deductions (TDS), and GST
• PAN Card Mandate: To receive payouts from the Platform, all Affiliates must submit a valid Indian PAN Card and correct bank account verification details, including IFSC codes.
Payouts will remain securely frozen inside the system ledger until complete KYC documents are provided.
• Tax Deduction at Source (TDS): All commission payouts generated within our cycles are subject to mandatory tax deductions at source (TDS) under Section 194H of the Indian Income Tax Act.
The Platform will deduct the applicable statutory TDS percentage prior to releasing the net balance to the Affiliate’s bank account.
• Commercial GST Obligations: If the Affiliate operates as a registered corporate entity or falls past the annual financial turnover limits requiring mandatory GST registration, they are solely responsible for filing their own local returns.
The Platform operates under a reverse-charge assumption regarding independent field contractor liabilities.
3.8 Deceptive Practices, Anti-Poaching, and Permanent Termination
• Fraudulent Field Violations: The Platform enforces a strict, zero-tolerance policy against unethical activities.
An Affiliate’s account will be instantly blacklisted, and all accumulated pending payouts permanently forfeited, if they are caught:
• Charging vendors extra cash handling charges or out-of-pocket processing fees outside of our standard official gateway payment window.
• Falsifying vendor location data, entering fake Pincodes, or using random internet videos to pass our onboarding filters.
• Coercing or staging fake business premises simply to hit submission quotas.
• The Anti-Poaching Covenant: During their active tenure as an independent marketing agent and for a strict period of twelve (12) months post-termination, the Affiliate is legally barred from poaching, redirecting, or attempting to migrate any registered AasPaas Connect vendor onto a directly competing local video directory or marketplace platform.

SECTION 4: GENERAL LEGAL & PLATFORM MANAGEMENT CLAUSES
4.1 System Security & Platform Uptime
• While we utilize cloud-optimized infrastructure frameworks and secure content delivery networks (CDNs) to stream business profile videos, we do not guarantee uninterrupted, lag-free operations or 100% server uptime during routine system updates or ISP disruptions.
4.2 Platform Changes & Modifying Terms
• AasPaas Connect reserves the right to adjust directory operational features, update subscription models, modify affiliate commission percentages, or rewrite these structural Terms at any moment.
Your continued use of the Platform following updates means you agree to the updated legal framework.
4.3 Governing Law & Jurisdiction
• These Terms are governed by and construed in accordance with the laws of India.
Any legal actions, disputes, or claims arising out of the Platform’s features, affiliate payouts, or vendor listings shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
